Legal analysis: a legal person does not have to stamp a contract. Signature and seal have the same legal effect. A contract that is not sealed but confirmed by the signatures of both parties still has legal effect. According to the provisions of the contract law, the contract shall come into effect after being signed or sealed by both parties. For a contract concluded by a natural person, as long as the parties have not agreed that the contract must be signed and sealed before it takes effect, the signature and seal are also valid. For a contract concluded by a company, if the person signing the contract is the legal representative of a legal person, and there is evidence to prove that the rights of the contract are truly enjoyed by the company and the obligations are truly performed by the company, the contract can also be regarded as a legal person of the company. However, if one party to a contract knows or should know that the legal representative of the other party has exceeded his authority, but still signs a contract with him, the contract signed by the legal representative without seal is not binding on the unit.
