Chapter I General Principles

Article 1 The name of this Association is Yulin Youth Social Workers Association. English name: Yulin City Youth Association of Social Workers (YLASW for short).

Chapter III Members

Chapter IV Organization and Person in Charge

Article 23 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:

Article 24 A member congress can only be held when more than two thirds of the members' representatives are present, and its resolution shall take effect after more than half of the members' representatives present at the meeting vote. Member representatives may entrust an agent to attend the meeting, and the agent shall present the power of attorney and exercise the right to vote within the scope of authorization.

Article 25 The general meeting of members elects directors to form the Council. The board of directors is the executive body of the association and is responsible to the members' congress. The term of office of the Council is five years, and a general meeting shall be held at the expiration of the term.

Article 26 The duties of the Council are:

(1) Convening a member congress and submitting work reports and financial reports to the congress;

(two) to implement the resolutions of the members' congress;

(3) To elect and recall the president, executive president, directors, vice-presidents and secretary-general; Hire an honorary president;

(four) to decide on the appointment and removal of the principal responsible persons of various institutions;

Article 27 The board of directors shall hold at least 1 meeting every year, and may hold it at any time under special circumstances. Other directors must be elected by the general meeting of members. Under special circumstances, the Council may hold a by-election, but the directors of the by-election shall be confirmed by the next member congress.

Article 28 The meeting of the board of directors shall be convened and presided over by the chairman.

There are13 directors who propose that a board meeting must be held. If the chairman is unable to convene the meeting, the proposing director may elect the convener. When convening a board meeting, the chairman or convener shall notify all directors five days in advance.

The Standing Council shall convene a meeting at least once every six months, and it may be convened at any time under special circumstances. The addition of the Executive Director shall be elected by the Council. Under special circumstances, a by-election may be held by the Standing Council, but the executive director of the by-election shall be confirmed by the next Council. The executive director of the by-election shall be produced among the directors. The person in charge of this Association shall not be elected or removed by the Standing Council.

Article 32 Members' congresses and councils (standing councils) shall vote by secret ballot, and the election of responsible persons shall be by difference.

Article 33 The president is the legal representative of the Association. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations. The Chairman shall exercise the following powers:

(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;

(3) Signing relevant important documents on behalf of the Association;

Article 35 The daily work of the Association shall be under the responsibility system of the Secretary-General under the leadership of the President. The Secretary-General is full-time, and his powers are:

Article 38 The term of office of the President, Vice-President and Secretary-General of this Association is five years. Article 39 The Association may set up branches according to needs, and the director and deputy director of the branch shall be elected by the general meeting of the members of the branch. Each branch can carry out activities according to its own business scope. Implement the director responsibility system under the leadership of the director. The Director-General and the Secretary-General for Special Work are appointed by the Association.

Chapter V Principles of Asset Management and Use

Article 40 The income of this Association comes from:

(1) membership fees;

(6) Other lawful income.

Article 44 The Association shall implement the Accounting System for Non-profit Organizations, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting materials.

Article 45 The assets of this Association belong to the part funded by the government and donated by the society. It shall promptly report the acceptance and use of funds and donations to the competent business unit and the registration authority, and openly accept the supervision of the organizers, donors and the society.

Article 46 This Association shall accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

Article 47 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 48 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with relevant state regulations.

Chapter VI Termination Procedure and Property Disposal after Termination

Article 52 In any of the following circumstances, this Association shall be terminated:

(a) to complete the purpose stipulated in the articles of association;

(two) unable to continue to engage in public welfare activities in accordance with the purposes stipulated in the articles of association;

(3) Division or merger;

(4) dissolving by itself;

Article 53 If this Association is terminated, the Council (or the Standing Council) shall put forward a proposal to terminate the meeting, which shall be submitted to the competent business unit for review within 15 days after being voted by the members' congress. Apply to the registration authority for cancellation of registration within 15 days after the approval of the competent business unit.

Article 54 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority and the competent business unit to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 55 This Association shall be terminated after the cancellation of registration by the social organization registration authority.

Chapter VII Supplementary Provisions

Article 56 Any amendment to the Articles of Association shall be approved by the board of directors and submitted to the members' congress for deliberation and approval. It will come into effect after it is reviewed and approved by the member representative assembly 15 days, submitted to the competent business unit for examination and approval, and submitted to the registration authority for approval.
