Signature and seal represent the final confirmation of the contract by both parties. If it is not signed and sealed, it is naturally not a party to the contract and there is no reason to pay off the debt.

The debts belonging to the shareholders themselves shall be paid by the shareholders themselves and have nothing to do with the company.
