In view of the fact that Party B may have contact with or have control over Party A during its tenure and after resignation. Party A and Party B, in accordance with the "Labor Law of the People's Republic of China" and other relevant laws, regulations and rules, and in order to safeguard the legitimate rights and interests of both parties, have reached an agreement on confidentiality matters as follows:

1. Scope of Confidentiality

Party A and B confirm that the scope of Party A’s business secrets and customer secrets that Party B is obligated to keep confidential includes but is not limited to the following.

1. Technical information: technical plans, engineering designs, technical reports, test reports, experimental data, test results, drawings, samples and job results, etc.

2. Business information: including internal organization and personnel information, internal management documents, financial information, important meeting minutes, business policies, investment decision-making intentions, product and service pricing, market analysis, advertising strategies, etc.

3. Customer information: including customer information formed or possessed by Party A’s institutions and their staff in the process of serving customers. Once leaked, information that will cause reputation or property damage to customers or Party A .

4. Other matters that the company assumes confidentiality obligations to external parties in accordance with legal provisions or relevant agreements.

2. Confidentiality Period

The period for which Party B assumes confidentiality obligations is the following ___.

1. Keep it confidential indefinitely until Party A announces declassification or the secret information is actually made public.

2. The confidentiality period shall be limited to ___ years from the date of resignation.

3. Rights and Obligations

1. During Party B’s tenure with Party A, Party B shall strictly abide by Party A’s rules and regulations regarding confidentiality, and earnestly perform confidentiality responsibilities corresponding to its position. Party B shall use the business secrets and customer secrets that it comes into contact with in its work reasonably and normally, and take necessary confidentiality measures. Without the written consent of Party A, Party A's business secrets and customer secrets shall not be disclosed, informed, published or made known to third parties in any other way. Without the consent of Party A, any information related to Party A’s business secrets and customer secrets may not be retained or copied privately.

2. Without the written consent of Party A, Party B shall not work part-time in a third party or engage in other activities that exploit Party A’s business secrets or customer secrets.

3. Party B shall not disclose the confidential information to other staff of Party A who should not know certain business secrets or customer secrets.

4. Party B guarantees not to use any information or materials that may be infringing that may be obtained privately from outside to engage in Party A’s work.

5. During the period when Party B serves Party A, Party A shall provide all kinds of information, materials, etc. necessary for the work.

4. Liability for breach of contract

1. If Party B violates any terms of this Agreement, it shall pay Party A a one-time penalty of RMB___ million yuan.

2. If Party B's breach of contract causes property or reputation loss to Party A or other third parties, Party B, in addition to paying liquidated damages, shall also bear all liability for compensation in accordance with relevant laws, regulations and rules.

3. If Party B violates the confidentiality obligations stipulated in this agreement, Party A has the right to terminate the labor relationship with Party B.

5. Dispute Resolution

All disputes arising from this Agreement shall be resolved by both parties through friendly and equal negotiation. If the negotiation fails, either party shall have the right to file a complaint with the Labor and Personnel Department where Party A is located. The Dispute Arbitration Committee applies for arbitration or files a lawsuit with the People's Court where Party A is located.

6. Others

1. Party B confirms that it has carefully reviewed the content of this agreement before signing it, fully understands the legal meaning of each clause of this agreement, and is aware of and recognizes the company's relevant confidentiality regulations.

2. This Agreement is an integral part of the Labor Contract signed by Party A and Party B. If there is any inconsistency with the Labor Contract, this Agreement shall prevail.

3. Matters not covered in this agreement shall be implemented in accordance with national laws or relevant regulations and systems of government authorities.

4. This contract is made in two copies, each party holds one copy, and has the same legal effect. It shall take effect from the date of signature and official seal of the authorized representatives of both parties.
