Party A and Party B now cooperate to sell and promote New Zealand’s tourism products. Party B serves as the first-level agent of Party A’s tourism products in Guangdong. Party A agrees that Party B acts as an agent for the sales and after-sales service of Party A’s tourism products. services and other related businesses, both parties have reached the following agency agreement through friendly negotiation based on the principles of equality, mutual benefit, and common development, and on the basis of complying with relevant national policies and regulations:

1. Prerequisites for cooperation
Party B submits legal documents such as business license and tourism business license to Party A. After Party A has reviewed Party B's information and credit standing, the person in charge of Party A or its authorized representative (a letter of authorization for the authorized representative must be provided) and the legal representative of Party B or its authorized representative (a letter of authorization for the legal representative must be provided) ) Both parties sign this cooperation agreement and affix it with their official seals. 2. Agency Principles
(1) In the process of acting as an agent for Party A’s products, Party B shall not damage Party A’s reputation and interests in any form. (2) Party B guarantees that all its business activities fully comply with relevant Chinese laws, regulations, administrative rules, etc. (3) If Party B’s violation of the above provisions causes any damage to Party A, Party B shall bear all legal responsibilities and compensate Party A for the losses.
3. Responsibilities and obligations of both parties
(1) Party A will regularly print corresponding promotional materials based on tourism products to Party B for product promotion.
(2) Party A will ensure that it will not establish a second general agent of the same level in its area.
(3) Party B should make a long-term advertising plan for the product as much as possible, and provide relevant pictures, text, and images at Party A’s request. Advertising materials, and working with Party A to formulate regional marketing advertising plans. If Party B does not have any relevant publicity effect within one month after becoming Party A's agent, Party A reserves the right to terminate the agreement. (4) Party A is only liable to Party B for losses caused by Party A’s fault. Any disputes, controversies, losses, infringements, breach of contract liabilities, etc. between Party B and its customers shall be resolved by Party B and the customers themselves. Party A will not intervene in the disputes, controversies, etc. between Party B and its customers, nor shall it be responsible for any losses suffered by the customers. (5) Party B must obtain confirmation from Party A within the required time after accepting the customer.
(6) If Party B has a team to hand over to Party A for operation, Party A will respond at the agreed time according to the team’s requirements, and the price will be negotiated by the group. (7) Party B shall promptly notify Party A of the cancellation of the team plan. Otherwise, Party A shall be responsible for the losses caused by the original documents issued by the relevant units and the fax letter confirming the group formation by Party B.
(8) If Party B temporarily increases the number of groups or people, it shall first notify Party A by phone and obtain Party A’s consent. Party A should actively cooperate with Party B in arranging the temporary increase in team and number of people. If it is really impossible to arrange the team and number of people temporarily due to transportation and hotel shortages during the peak season, Party A can make arrangements based on the actual situation.
(9) In terms of quality, Party A must provide hotels, tour buses, catering, itinerary arrangements and tour guide services in accordance with the published tourism product standards to ensure that quality and price match. If Party A's service fails to meet quality standards, or quality problems occur during the reception and cause complaints from guests, Party A will bear the liability for compensation.
(10) When Party A’s normal services are affected due to force majeure or unexpected events, it will not be regarded as a breach of contract by Party A, and Party B shall agree to this

IV. Settlement method
(1) Settlement voucher: Party A and Party B will confirm the settlement price and itinerary by fax before individual travelers or groups depart, and Party B will confirm the settlement price and itinerary after the group ends

Party B must collect passengers according to the itinerary and price provided by Party A. Party A will charge a commission of 15% per person according to the price indicated on each itinerary
Returned to Party B, this commission will be deducted when the balance is settled. If Party B adjusts the standards or changes the itinerary, there will be no commission, and Party A is obliged to provide the most favorable team quotation to Party B. 6. Agency Period
The validity period of this agreement is: from the date of the year to the date of the month. It will be made in four copies, with the business department and finance department of both parties each holding one copy. For matters not covered in the agreement, the two parties can further negotiate to resolve it, or sign a supplementary agreement. The supplementary agreement has the same legal effect as this agreement.
When the contract expires and both parties A and B are willing to renew the contract, they must negotiate to renew the contract one month before the expiration of the contract. 7. Termination of contract:
After both parties sign the contract, if the contract needs to be terminated due to unilateral reasons of one party, the party initiating the termination of the contract shall notify the other party in writing seven days in advance
