Chapter I General Principles
1. seal is an important document and tool for the company to exercise its functions and powers in its business management activities. The management of seal is related to the normal management activities of the company, and even affects the survival and development of the company. In order to prevent the occurrence of unnecessary events and safeguard the interests of the company, these measures are formulated. These Measures are applicable to the seal management of Bailey Group. Matters not covered in these Measures or unclear definitions shall be submitted to the General Manager or the Chairman of the Group for ruling.
Two. The Board of Directors of the Group authorized the Finance Department to be fully responsible for the management of corporate headquarters seals (counting all kinds of seals), issuing and recycling seals, and supervising the storage and use of seals. The manager of the sales management department keeps one official seal of the company headquarters, one contract seal and one chairman's signature seal, which will be reserved during abnormal working hours. The use process is the same as Article 9, and all documents will be transferred from the sales management manager to the group finance department afterwards.
Chapter II Seal Engraving
Three. Application, review and approval of seal engraving: the person in charge of the department that needs to engrave the seal applies for engraving according to the work needs, and the engraving is approved by the vice president/director of the system or the general manager of the branch.
Four. Seal engraving: the approved engraving application shall be handled by the purchasing department.
Chapter III Collection and Preservation of Seals
5. The company's various seals are collected and kept by special personnel at all levels and positions according to their functions and powers.
Six, the seal must be kept by the custodian, and shall not be lent to others.
Seven, the company set up a seal management table, and the situation of sending and receiving seals by special personnel was recorded on the table.
Eight, the seal holding is included in the employee turnover. Employees who hold the company seal must go through the formalities of returning the seal before going through the formalities of resignation.
Chapter IV Use of Seal
Nine, every time the company personnel at all levels need to use the seal, they must fill in the seal use form (see attachment) as required, and report the printed documents step by step, which will be reviewed by the relevant personnel of the company. The use conditions and audit authority of various seals are as follows:
(a), the group headquarters:
All kinds of administrative seals can only be stamped with corresponding documents. (Business → Business, Contract → Contract)
Contract seal (including ① Special seal for contract of Guangzhou Bailey Wen Yi Industrial Co., Ltd. Shanghai Branch; ② Special seal for contract of Shanghai Bailey Wen Yi Industrial Co., Ltd.; ③ Special seal for contract of Guangzhou Baiyun Zhuo Wei Office Furniture Factory; (4) Use of special seal for contract of Guangzhou Baili Wen Yi Industrial Co., Ltd.: The Distribution Order Contract shall be sealed after being approved by the department manager and the director/vice president in charge of the system; Direct sales order contract (including system sales order, etc. Directly signed with Party A) shall be reviewed (the terms shall be reviewed by the legal person, the price and payment method shall be reviewed by the financial manager, the delivery date shall be reviewed by the vice president of manufacturing, and the sales director shall comprehensively review). After the final approval of the general manager of the group, the contract will be submitted to the finance department, and the finance department will designate a special person to seal it. All external actions of the marketing department need to be sealed.
When the sales contract is stamped, there must be a list of ordered products and accessories (unit price, amount, etc. ) After the quotation is reviewed, it must reflect the review process, that is, it needs the signature of the reviewer, otherwise it will not be stamped.
Official seal (including ① Guangzhou Bailey Wen Yi Industrial Co., Ltd. Shanghai Branch; ② Shanghai Bailey Wen Yi Industrial Co., Ltd.; ③ Guangzhou Baiyun Zhuo Wei Office Furniture Factory; ④ Guangzhou Baili Wen Yi Industrial Co., Ltd.; ⑤ Use of Bailey Wen Yi Group (China) Co., Ltd.: It is applicable to the case that a document is issued in the name of the company, approved by the general manager's office meeting, signed by the general manager of the group, and sealed by a special person appointed by the finance department (if some contracts need to be stamped with the official seal, the use authority of the official seal is equivalent to the contract seal).
Private seal (including ① two "precious jade toads"; (2) Liang Nanxin two articles; (3) Use of "beam": it is suitable for issuing checks and documents. , it can be stamped only after it is confirmed by myself or its authorized person. If it is necessary to use the private seal in the contract, it can also be handled after obtaining the consent.
Chairman's signature seal (one large and one small): applicable to documents, foreign financial accounting reports, tax returns, etc. that need his signature. ; In principle, it must be confirmed in writing (using the seal use form) before it can be stamped. Special circumstances can be confirmed by telephone (recorded), and forms can be signed afterwards.
(2) All subordinate companies:
All kinds of administrative seals can only be stamped with corresponding documents (business → business, contract → contract, finance → finance).
Use of contract seals (including nominal contract seals of headquarters and branches): Sales personnel must sign contracts and purchase orders after being signed by department heads before stamping; The contract seal used by the purchasing department must be signed by the vice president in charge of the system, and the infrastructure and equipment can only be stamped after being signed by the chairman.
Use of official seals (including the official seals in the names of headquarters and branches): all kinds of certification documents between companies can only be stamped after being signed by the heads of various departments, bidding documents can only be stamped after being signed by the general manager of each branch, the official seals used by the purchasing department need to be signed by the deputy general manager in charge of the system, and the infrastructure and equipment can only be stamped after being signed by the chairman.
Use of human resources department seal and administrative seal: signed and sealed by the manager of human resources department.
Ten, after examination by the relevant personnel, and finally approved by the personnel who have the right to use the seal, it can be handed over to the seal keeper for stamping. After the sales order is approved, it will be submitted to the Finance Department for seal. Generally speaking, it will be executed within five minutes without special circumstances.
Eleven, the seal keeper should check the contents of the document and the signature specified in the "seal use form", and seal it after verification.
Twelve, in the process of gradual review was rejected, the document should be returned.
Thirteen. The general manager of the group has the absolute decision on the use of all seals of the company.
Fourteen, involving legal and other important matters need to use the seal, it shall be examined and signed by the legal adviser in accordance with the relevant provisions.
Fifteen, financial personnel in accordance with the daily authority and daily work content to use the financial seal without going through the above procedures.
16. After the seal is printed, the seal usage sheet shall be kept by the seal keeper as the seal voucher, and shall be regularly sorted and submitted to the Finance Department for filing.
17. The seal is not allowed to be taken out of the company in principle. If it is really necessary to take out the seal for use due to work, you should fill in the Seal Borrowing Application Form (see annex) in advance, and indicate the matters. Personnel at or above the level of regional manager can only take out and use the seal with the approval of the general manager of the group.
18. The right to use the official seal belongs to the group general manager, and the right to use other seals is authorized by the group general manager according to the actual work needs.
Chapter v invalidation and destruction of seals
19. Failure of seal includes inapplicability failure, wear failure, loss failure, etc.
20. The user department shall be responsible for destroying the seals that are confirmed to be invalid. The seal destruction application (see attachment) shall be reviewed by the vice president/director of the system or the general manager/vice president of the branch, and can only be destroyed after being approved by the general manager of the group.
Chapter VI Responsibilities and Duties
2 1. The seal keeper must keep the seal properly, and report it to the general manager's office in time if it is lost.
Twenty-two, any personnel must use the seal in strict accordance with the procedures prescribed in these measures, and shall not use it without the procedures prescribed in these measures.
Twenty-three, in violation of the provisions of these measures, causing losses to the company, the company will give administrative sanctions to the violator, causing serious losses or serious circumstances, will be handed over to the relevant authorities for handling.
Chapter VII Supplementary Provisions
Twenty-three, the right to interpret these measures belongs to the general manager's office group.
