Legal basis: Regulations on the Administration of the Use of Official Seal
Article 7 The seal of the company shall be kept by a special person according to the division of responsibilities among departments. The seal keeper must be responsible and shall not place or give it to others at will. If it is necessary to hand over to others due to resignation, the head of the department may designate a special person to replace him, but he must go through the handover procedures and fill in the handover registration form. In order to ensure the absolute safety of funds, the special financial seal, official seal, legal representative and other bank seals are kept and supervised by two or more people respectively, so that one person can't issue checks and drafts, and the other person can't withdraw cash.
Article 8 If the seal is damaged, the company shall file a document to stop using it, and the office shall uniformly register, collect and destroy it.
Article 9 If the company's administrative official seal and other important official seals are stolen or lost, it is necessary to report the case to the local public security department in time and declare it invalid in the newspaper.
Tenth use of seals must strictly implement the approval procedures for the use of seals. According to the scope of use of the seal, the seal can only be used after approval. The use of the company's administrative official seal must be approved by the general manager of the company and sealed by the seal keeper. Major foreign investment, joint venture and cooperation agreements must be approved by the general manager before they can be stamped with the special seal for the contract. The seal of the legal representative of the company or the seal of the general manager must be signed by the legal representative or the general manager himself or the authorized person before it can be used. Special seal for finance, special seal for cheque and special seal for legal representative shall be used by the financial department according to the post responsibilities and authority. The special seal of each functional department of the company shall be approved by the department head.
Article 11 The use of seals must strictly follow the seal registration procedures. The use of the seal shall be approved by the authorized approver or the authorized person, and then registered in the "seal register" by the seal keeper according to the scope of use specified in the examination and approval, and signed and sealed by the seal user. In case of emergency, when the approver goes out, he can instruct the seal keeper to use the seal by telephone, but he must go through the formalities of approval and registration afterwards. The "seal register" shall be kept by the seal keeper.
Article 12 Without approval, blank documents shall not be stamped with the company seal.
Thirteenth except in special circumstances, it is not allowed to take the seal out or lend it.
Article 14 The seal keeper must make a written commitment to strictly implement the company's seal management system, and shall not use the seal privately, or illegally use the seal at the instigation or request of anyone. The seal management approver must make a written commitment to strictly implement the company's seal management system and not approve or use his power to force the seal keeper to use the seal in violation of regulations. The seal management commitment letter is made in duplicate, one kept by the promisor and the other kept by the company.
