In order to help the secretary of the board of directors better master the knowledge of the capital market, improve the standardized operation ability and professionalism, and do a good job in the connection of the qualification certification of the secretary of the board of directors after listing, the Entrepreneurship Training Center of Shenzhen Stock Exchange plans to hold the 78th training course for the secretary of the board of directors of listed companies in Shenzhen from September 22, 2006 to September 22, 2007. According to the provisions of Chapter 1, Chapter 3, Articles 4, 6, 10 and 17 of the Measures for the Administration of the Qualifications of the Secretary of the Board of Directors and Securities Affairs Representatives of Listed Companies of Shenzhen Stock Exchange, the Entrepreneurship Training Center of Shenzhen Stock Exchange will organize the examination of the Secretary of the Board of Directors of this training course and issue qualification certificates.

First, the training content

The main laws and regulations of the capital market; Listing Rules of Shenzhen Stock Exchange; Corporate governance and standardized operation; Key points of issuance review and key issues of M&A and restructuring; Operation practice of enterprise restructuring and listing; Corporate bonds and asset securitization and other related business knowledge. This training course is taught by experts from Shenzhen Stock Exchange, sponsors, consulting companies, accounting firms and law firms.

The main courses include: the latest development of Shenzhen's multi-level capital market, the introduction of the work of the Secretary-General and the exchange of experience, the introduction of information disclosure system and stock listing rules, the rights and obligations of the Secretary-General, the key points and core processes of securities firms' selection of sponsor companies, the interpretation of legal issues of reorganization and listing, the introduction of Shenzhen's fixed-income products, and the construction of internal control system of listed companies.

Second, the training object and registration confirmation method

Training objectives:

It is limited to the current or proposed secretary of the board of directors/securities affairs representative of the company to be listed and has not obtained the qualification certificate of the Secretary-General of this Exchange.

Registration confirmation method:

This training course will start with the forecast name (see the relevant announcement for the forecast name), and the corresponding qualified students will be invited to participate in this training, and the students will receive the corresponding email invitation letter or SMS notification.

Third, the training time, place and cost

Training time: 20 17 September19–09 September 218: 30–18: 30.

Examination time: 2065438+9: 00 on September 22nd, 2007–11:00.

Graduation ceremony: 2065438+September 22, 200713: 30–14: 00.

Training location: Crowne Plaza Shenzhen Longgang Pearl River (No.9009 Longxiang Avenue, Longgang District, Shenzhen)

Training fee: 2,900 yuan/person (including meal fee, venue fee and material fee during the training period), and the accommodation fee is self-care. The invoice will be issued at the training site before the end of the training.

Fourth, the content of the exam

The examination scope includes but is not limited to the contents of this training, mainly including:

(1) amendments to company law, securities law and criminal law (VI);

(2) Administrative Measures for Initial Public Offering and Listing, Governance Guidelines for Listed Companies, Administrative Measures for Information Disclosure of Listed Companies, Rules for Shareholders' General Meeting of Listed Companies, Guidelines for Articles of Association of Listed Companies, Guiding Opinions on Establishing Independent Director System in Listed Companies, Administrative Measures for Acquisition of Listed Companies, Administrative Measures for Equity Incentives of Listed Companies, Administrative Measures for Securities Issuance of Listed Companies, China Securities Regulatory Commission promulgated the "Several Provisions on Regulating the Capital Exchange between Listed Companies and Related Parties and the External Guarantee of Listed Companies" and the "Notice on Regulating the External Guarantee of Listed Companies" and other relevant laws and regulations;

(3) Stock Listing Rules and Stock Trading Rules of Shenzhen Stock Exchange, as well as relevant rules, guidelines and detailed rules promulgated by SME Board and Growth Enterprise Market;

(4) Other laws and regulations related to securities finance.

Verb (abbreviation for verb) exam form

The form of the examination is a closed book, and the examination questions are multiple-choice questions, multiple-choice questions and judgment questions. Test sites cannot communicate with each other, consult materials and use computers and wireless communication equipment, otherwise they will be disqualified. Awarded the Qualification Certificate of Secretary of the Board of Directors of Shenzhen Stock Exchange to those who passed the examination.

Students are required to present a letter of recommendation from the board of directors of the company to be listed (see Annex III of this notice for the format of the letter of recommendation) and their ID cards during the examination. The recommendation letter of the board of directors needs to be stamped with the official seal of the board of directors of the company (if the board of directors does not have the official seal temporarily, please affix the official seal and the chairman's signature).
