Chapter IV Organization and Management
Article 9 The school shall establish a board of directors according to law, with a term of three years. The board of directors is the highest authority of the school and consists of five members. The board of directors is elected by the school investors for a term of three years, and the directors may be re-elected at the expiration of their term.
Article 10 The board of directors may exercise the following functions and powers:
(a) to decide on the school's business activities plan
(two) to decide the annual financial budget and final accounts of the school.
(3) Deciding on the plan for the school to make up the losses.
(four) to decide on the plan to increase or decrease the registered capital of the school.
(five) to decide on the merger, division, change and dissolution of the school.
(six) to decide on the establishment of the internal management organization of the school.
(seven) to appoint or dismiss the principal of the school, to appoint or dismiss the vice-principal and the person in charge of finance of the school according to the nomination of the principal, and to determine their remuneration.
(eight) decided to formulate the basic management system of the school.

Article 11 The board of directors shall meet at least twice a year. In any of the following circumstances, the board of directors may be convened at any time.
(1) When the board of directors deems it necessary;
(2) When one third of the directors jointly propose;
Article 12 The board of directors shall have one chairman and one vice chairman.
Article 13 The vice chairman shall assist the chairman in his work. When the chairman is unable to perform his functions and powers, the vice chairman shall wait for him to perform his functions and powers.
Article 15 When a board meeting is convened, the chairman or the person designated by the chairman shall notify all directors ten days before the meeting, and inform the board of directors of the time, place and contents of the meeting. If a director is unable to attend the board meeting for some reason, he may entrust other directors to attend the board meeting on his behalf in writing. The power of attorney shall specify the scope of authorization.
Article 16 The attendance of the board of directors shall not be less than half of all directors. If the number of attendees is less than half, the adopted resolution is invalid. If the absent directors ratify, and the number of ratifications exceeds half, the resolution is invalid.
Article 17 The board of directors shall keep minutes of the resolutions made, and the directors present at the meeting shall sign the minutes. Directors are responsible for the resolutions of the board of directors. The records of the board of directors shall be filed and kept by the personnel designated by the chairman.
Article 18 A school may set up a board of supervisors, and the supervisors shall be elected and replaced by the school. The Board of Supervisors is composed of all supervisors, and is responsible for supervising the members of the Board of Directors and other senior managers to prevent them from abusing their powers and infringing on the legitimate rights and interests of the school and its employees.
Article 19 The board of supervisors consists of four supervisors, who elect a convener. The employee representatives in the board of supervisors are democratically elected by the school employees.
Article 20 The Board of Supervisors shall exercise the following functions and powers:
(a) Check the finances of the school;
(two) to supervise the acts of directors and principals in violation of laws, regulations or school articles of association when performing their duties;
(three) when the behavior of directors and principals damages the interests of the school, they are required to correct it;
(4) Other functions and powers as stipulated in the articles of association of the school.
Article 21 The Board of Supervisors implements the voting system of "one person, one vote, and the minority is subordinate to the majority". The meeting of supervisors shall be approved by more than half of the supervisors.
