Articles of Association of Shanghai Flower Arrangement Association
Adopted by the general meeting of members on February 6, 2009.

Chapter I General Principles

Article 1 The name of this Association is Shanghai Flower Arrangement Association. Article 2 This Association is a professional non-profit social organization legal person voluntarily composed of flower arranging enthusiasts, enterprises, institutions and organizations engaged in flower arranging activities in this city. Article 3 The purpose of this Association: to abide by national laws, regulations and policies, to observe social morality and fashion, to carry forward national culture, to inherit, study and develop Chinese flower arrangement, to learn and absorb foreign advanced flower arrangement, to serve the improvement of people's living quality, urban greening and environmental quality, and to stimulate the production and consumption of flower industry. Article 4 The registration authority of this Association is Shanghai Municipal Administration of Social Organizations, and the competent business unit is Shanghai Municipal Administration of Greening and City Appearance. This Association accepts the supervision and management of the registration authority and the competent business unit. Article 5 The domicile of this Association is in Huangpu District, Shanghai.

Chapter II Tasks, Scope of Business and Principles of Activities

Article 6 The main tasks of this Association are: (1) to inherit, study and develop the art of flower arrangement with China and Shanghai characteristics; (2) Holding flower arranging exhibitions, performances, competitions and training activities, popularizing knowledge of flower arranging and cultivating flower arranging talents; (three) to promote academic exchanges in the field of flower arrangement and floral art at home and abroad, broaden their horizons, communicate information, learn skills and enhance friendship; (4) Strengthen cooperation with enterprises and institutions related to flower arrangement and floriculture, and actively promote the formation and development of modern flower and floriculture service industry. (five) to assist government departments to do a good job in the formulation of professional standards for flower arrangement and floral art, vocational skills training and skill appraisal; (six) editing and publishing books, picture books and other promotional materials related to flower arrangement, and carrying out various kinds of flower arrangement landscape design, layout and consulting services. Article 7 The business scope of the Association: popularize knowledge of flower arrangement, improve flower arrangement skills, organize flower arrangement activities, train flower arrangement talents, and provide flower arrangement landscape design, layout and consulting services. Article 8 The principles of the Association's activities are as follows: (1) The Association conducts its activities in accordance with the approved articles of association and does not exceed the business scope stipulated in the articles of association; (two) the activities of the association shall be honest and trustworthy, fair and just, and shall not resort to deceit, and shall not harm the interests of the state, members and individuals; (3) The Association will follow the principle of "holding the meeting independently" and strive to achieve independent work, independent personnel and self-financing. Chapter III Members

Article 9 This Association consists of individual members and unit members. Individual members are divided into members and senior members. Article 10 The conditions for applying to join the Association are as follows: (1) Individual membership: 1. Recognition of the articles of association; 2. Join the Association voluntarily; 3, decent style, noble thinking, civilized and polite; 4. Meet one of the following conditions: (1) Love flower arrangement and have a certain theoretical and technical foundation on flower arrangement, and flower arrangement and flower arrangement works must be examined and qualified by the Association. (2) After training, he has the certificate of junior class of Shanghai Flower Arrangement and Floriculture Training School; (3) After vocational training, he has the qualification certificate of junior flower arranging teacher; (4) Having received formal flower arrangement and floral training abroad and holding a certificate; (5) After general training or self-study, he has the level of flower arrangement above the junior flower arranging teacher. (2) Senior member 1, who has joined the association for more than 5 years and made important contributions to the association; 2. He is quite accomplished in flower arrangement and has a certain influence in the industry. (3) Units that are members of 1 recognize the articles of association; 2. Join the Association voluntarily; 3, the city has certain advantages in the production and operation of flower arrangement and floral enterprises and institutions; 4 enterprises, institutions and organizations with good integrity and stable operation in the city's greening and city appearance system; 5. Social groups such as flower arranging and floral lovers with certain influence in the city. Article 11 Membership procedures are as follows: (1) Individual membership: 1. I applied and was introduced by two members; After examination and approval by the Association Office, it will be sent to membership certificate. 2, senior members approved by the Standing Council, issued to senior membership certificate. (2) Unit members: 1. The applicant fills in the application for membership and seals it; 2. Office audit; 3. With the approval of the Standing Council of the Association, membership certificate and bronze medal were awarded to the unit. Article 12 Members shall enjoy the following rights: (1) Individual members: 1. The right to vote, to be elected and to vote; 2. The right to participate in the activities of the association; 3. Get the priority of our service; 4. Have the right to know, criticize, suggest and supervise the work of this association; 5, voluntary membership, freedom to quit. (2) Unit members: 1. The right to vote, to be elected and to vote; 2. The right to participate in the activities of the association; 3. We can ask the association to organize personnel training and recommend talents; 4. Priority can be given to the information and technical consulting services of the Association; 5. Priority can be given to participating in exhibitions, competitions and exchange activities organized by the Association. Article 13 Members shall fulfill the following obligations: (1) Individual members: 1. Abide by the articles of association of this association; 2. Implement the resolutions of this Council; 3. Safeguard the legitimate rights and interests of this Association; 4. Complete the work assigned by the Association; 5. The obligation to report to this Council, provide relevant exhibits and works, write articles, and make contributions to popularizing and improving the art of flower arrangement; 6. Pay the membership fee as required. (2) 1 member unit, and abide by the articles of association; 2. Implement the resolutions of this Council; 3. Safeguard the legitimate rights and interests of this Association; 4. Complete the work assigned by the Association; 5. Pay the membership fee as required. Fourteenth unit membership card is valid for three years from the date of issuance, and a new card will be issued after the expiration. If a member withdraws from the club, he shall notify the club in writing and return the unit membership card and bronze medal. Article 15 If an individual member fails to pay his membership fee for more than one year, his membership rights will be suspended. If a member fails to perform his obligations, it can be regarded as voluntary withdrawal, and if it damages the legitimate rights and interests of the association, he can be persuaded to withdraw. If there is a serious violation of the Articles of Association or criminal punishment for public security, it shall be removed with the approval of the Standing Council. Chapter IV Organization and Person in Charge

Article 16 The organizing principle of this Association is democratic centralism. The composition of the leading group and the decision-making on major issues must be decided through collective discussion in accordance with the principle that the minority is subordinate to the majority. Article 17 The person in charge of this Association refers to the president, vice-president and secretary-general. Article 18 The highest authority of this Association is the members' congress. The term of office of a member congress is four years, and the term of office may not be extended for more than one year. Under special circumstances, the Council may convene a meeting at any time as appropriate. The functions and powers of the members' congress are: (1) to formulate and amend the articles of association; (2) Electing or dismissing directors; (3) Setting the membership fee standard; (four) to consider the work report and financial report of the Council; (five) to decide on major issues such as the change and termination of its name. Article 19 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolution shall take effect after more than half of the members' representatives present vote. The decision to terminate the meeting shall be valid only with the consent of more than half of the actual number of members present. Member representatives may entrust an agent to attend the meeting, and the agent shall present the power of attorney and exercise the right to vote within the scope of authorization. Article 20 The general meeting of members elects directors to form the Council. The board of directors is the executive body of the association and is responsible to the members' congress. The term of office of the Council is four years. After the expiration, a general meeting of members shall be held to hold a general election. Article 21 The duties of the board of directors are: (1) to convene a general meeting of members and submit work reports and financial reports to the general meeting of members; (two) to implement the resolutions of the members' congress; (three) to elect or recall the person in charge of the association; (4) Hiring honorary presidents and consultants; (five) to decide on the Deputy Secretary-General and the principal responsible persons of various institutions; (6) Deciding to establish or cancel offices, branches and representative offices, and filing with the registration authority or applying for registration according to law; (seven) to lead the work of various institutions; (eight) to formulate internal management system; (nine) other major matters decided by the general meeting of members. Article 22 The Council shall convene a meeting at least once a year, and it may be convened at any time under special circumstances. Other directors must be elected by the general meeting of members. Special circumstances can be by-election by the Council. However, the by-election of directors must be confirmed by the next general meeting. Article 23 The meeting of the Council shall be convened and presided over by the President. One third of the directors suggested that a board meeting must be held. If the president is unable to convene a meeting, the proposed director may elect a convener to convene a meeting of the board of directors. The chairman or convener shall notify all directors five days in advance. The board meeting shall be attended by the directors themselves. If a director is unable to attend for some reason, he may entrust other directors to attend on his behalf, and the authorization shall be specified in the power of attorney. Twenty-fourth Council meetings can only be held when more than two-thirds of the directors are present; The resolution of the board of directors shall be valid only if it is approved by more than two-thirds of the directors present at the meeting. Article 25 The Association shall establish a standing council, which shall be elected by the directors. When the Council is not in session, the Permanent Council shall exercise the functions and powers stipulated in paragraphs 2, 5, 6, 7 and 8 of Article 2 1 and be responsible to the Council. Article 26 The Standing Council shall convene a meeting at least once every six months, and it may be convened at any time under special circumstances. The addition of the Executive Director shall be elected by the Council. Under special circumstances, a by-election may be held by the Standing Council. However, the executive director of the by-election shall be confirmed by the next Council. The executive director of the by-election shall be produced among the directors. The person in charge of this Association shall not be elected or removed by the Standing Council. Article 27 The standing council shall be valid only if more than two thirds of the standing directors are present, and its resolutions shall be valid only if more than two thirds of the standing directors are present. Article 28 Members' congresses, the Standing Council and the Council shall vote by secret ballot or by raising their hands, and the election of responsible persons shall be conducted by democratic election. Minutes of the above-mentioned meetings shall be made. If a resolution is made, minutes of the meeting shall be made. Among them, the resolutions of the Council and the Standing Council meeting shall be reviewed and signed by the directors present at the meeting. Member representatives have the right to consult the articles of association, rules and regulations, all kinds of meeting minutes and financial accounting reports. Article 29 The president of this Association shall be the legal representative. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations. Article 30 The person in charge of this Association shall meet the following conditions: (1) Adhering to the Party's line, principles and policies; (2) It has great influence and high reputation in the business field of the Association; (three) the maximum working age is generally not more than 70 years old, healthy, can adhere to normal work. (4) Having full capacity for civil conduct. Thirty-first, because of the need of work, a person over 70 years old should be the person in charge of this association, and he must be approved by the board of directors, reported to the competent business unit for examination and approval, and approved by the registration authority before taking office. Article 32 A person who has been sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, whose execution has not been completed for more than five years, shall not be the person in charge of this association. (2) Being sentenced to deprivation of political rights due to a crime, being executed or being sentenced to deprivation of political rights; (3) Being the person in charge of a social organization whose registration has been revoked due to violation of laws, and being personally responsible for the illegal acts of the social organization, and less than five years have passed since the date of revocation of the social organization;

(4) Not having full capacity for civil conduct. Article 33 The term of office of the person in charge of this Association is the same as that of the Council, and the re-election shall generally not exceed two terms. If it is necessary to be re-elected due to special circumstances, it shall be approved by the board of directors, reported to the competent business unit for review, and approved by the registration authority before taking office. Article 34 The president of this Association shall exercise the following functions and powers: (1) Preside over the members' congresses, convene and preside over the Council and the Standing Council; (two) to check the implementation of the resolutions of the meeting; (3) Leading the Council and the Standing Council and signing important documents on behalf of the Association; (four) to lead and inspect the work of offices, branches and representative offices; (5) Other functions and powers granted by the Council. Article 35 The Secretary-General shall work under the leadership of the President. Article 36 The Association shall set up an office to be responsible for organizing activities and handling daily affairs. Set up an academic committee to study and develop flower arrangement with China and Shanghai characteristics; Set up a flower shop branch to be responsible for the commercial floral research and service of flower shops; Set up an office to organize member activities and serve members. The establishment of public institutions shall be reported to the competent business unit for examination and approval, and shall be filed with the registration authority. Thirty-seventh full-time staff of the Association shall participate in the on-the-job training organized by the registration authority or the competent business unit, be familiar with and understand the laws, regulations and policies of social organizations, and strive to improve their professional ability. Chapter V Management and Use of Property

Article 38 The income sources of this Association are: (1) membership fees; (2) Income from activities carried out within the approved business scope; (3) social sponsorship; (4) government funding; (5) Other lawful income. Article 39 The property and other income of this Association shall be protected by law, and no unit or individual may occupy, privately divide or misappropriate it. Article 40 The Association shall collect membership fees according to the membership fee standards adopted by the general meeting. Article 41 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members. Article 42 The Association shall implement the Accounting System for Non-profit Organizations, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting materials. Article 43 The assets of the Association belong to government subsidies and social donations, and the relevant information on the acceptance and use of subsidies and donations shall be reported to the competent business unit and the registration authority in a timely manner, and the supervision of the promoters, donors and the society shall be openly accepted. If a donation agreement is signed with a sponsor or donor, it must be used in accordance with the purpose, method and time limit agreed in the donation agreement. If the association uses donated property in violation of the donation agreement, the investors and donors have the right to require the association to abide by the donation agreement or apply to the people's court for cancellation of the donation or termination of the donation agreement. Article 44 This Association shall accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law. Article 45 An association shall be equipped with accountants with professional qualifications. Accounting can't have both. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 46 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with relevant state regulations. Article 47 The business accounting year of this Association is June+10/October 1 day to 1 February, 6438. Before March 3 1 every year, the board of directors will consider and approve the following matters: (1) the business report and final accounts of the fund in the previous year; (2) Annual business plan and budget; (3) list of property. Article 48 When the Association changes its term of office, legal representative and liquidation, it shall conduct a financial audit and submit it to the registration authority and the competent business unit. Forty-ninth associations shall accept the annual inspection organized by the registration authority in accordance with the Regulations on the Administration of Registration of Social Organizations. Chapter VI Termination and Disposal of Surplus Property

Article 50 The Association shall be terminated under any of the following circumstances: (1) To achieve the purpose stipulated in the articles of association; (two) unable to continue to engage in public welfare activities in accordance with the purposes stipulated in the articles of association; (3) Division or merger occurs. (4) Dissolve by itself. Article 51 If this Association is terminated, the board of directors shall propose a termination motion, which shall be submitted to the competent business unit for review within 15 days after being voted by the members' congress. Apply to the registration authority for cancellation of registration within 15 days after the approval of the competent business unit. Article 52 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority and the competent business unit to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. Article 53 This Association shall be terminated after the cancellation of registration by the social organization registration authority. Article 54 The surplus property after cancellation of this Association shall be used to develop social welfare undertakings with the same purpose as this Association under the supervision of the competent business unit and the registration administration organ, and shall be announced to the public. Chapter VII Supplementary Provisions

Article 55 The amendment of the Articles of Association shall be approved by the board of directors and submitted to the members' congress for deliberation and approval. It will come into effect after it is reviewed and approved by the member representative assembly 15 days, submitted to the competent business unit for examination and approval, and submitted to the registration authority for approval. Article 56 The Articles of Association was adopted by the eighth member congress on February 2, 2006. Where there are no national laws, regulations and policies attached to the Articles of Association, the national laws, regulations and policies shall prevail. Article 57 The right to interpret the Articles of Association belongs to the Council of the Association. Article 58 The Articles of Association shall come into force as of the date of approval by the registration authority.
