Legal analysis: 1. Application for change registration signed by the legal representative of the company; 2. Resolutions or decisions on changes made in accordance with the Company Law; 3. Other documents required by the State Administration for Industry and Commerce. If the company's change registration involves amending the articles of association, it shall submit the revised articles of association or amendments to the articles of association signed by the company's legal representative; 4. Need to sign an equity transfer contract involving equity transfer and exchange, and need the signatures of new and old shareholders.
Legal basis: Article 25 of the Company Law of People's Republic of China (PRC) shall specify the following items: (1) Name and domicile of the company; (2) The business scope of the company; (3) The registered capital of the company. (4) Names of shareholders. (5) The mode, amount and time of contribution by shareholders. (6) The organizational structure of the company, its methods of formation, powers and rules of procedure; (7) The legal representative of the company; (eight) other matters that need to be stipulated by the shareholders' meeting. Shareholders shall sign and seal the articles of association.
