Article 3: The purpose of this center is to abide by laws and regulations, implement the national policy of cultivating artistic talents, and protect the people affected by art in accordance with the law. The legitimate rights and interests of educators, teachers and other art workers are to ensure the quality of art education, teaching and artworks, and to abide by the principle of integrity and operate and manage in accordance with the law. Article 6: This center is funded by the famous calligrapher Wang Demin with non-state financial funds. The registered capital of the training center is 100,000 yuan. Article 7 The center’s approval authority and business supervisory unit is the Ningdu County Culture, Radio and Television Bureau, and the registration management authority is the Ningdu County Civil Affairs Bureau. Article 8 The center accepts the management and supervision of the registration management department, business department and other relevant management departments, and entrusts an intermediary organization to evaluate the teacher level and art teaching quality of the art center in accordance with the regulations of the relevant administrative departments. Chapter 2 Organizational Structure and Establishment and Removal of Legal Representatives Article 9 The Center implements a board of directors system. The Board of Directors is the decision-making body of the Center. Article 10 Composition of the Board of Directors (1) The Board of Directors of the Center is established by the organizer, and the first Chairman Wang Xianlong is elected by the organizer. Future board members will be elected by the organizers, and the chairman will be elected by the board of directors. (2) The board of directors of this center consists of more than five people, including Wang Xianlong, Wang Demin, Fu Rongwan, Xie Xuelin, Li Rui, the director of the training center and faculty representatives, and has a chairman. The list of chairman and directors shall be submitted to the approval authority for filing. (3) The term of office of the center’s board of directors is three years. Article 11 Powers of the Board of Directors (1) The Board of Directors shall exercise the following powers: 1. Appoint and dismiss the director of the training center; 2. Modify the charter of the training center and formulate the rules and regulations of the training center; 3. Formulate development plans and approve annual work plans; 4. Raise school funds, review budgets and final accounts; 5. Decide on staff quotas and salary standards for teaching staff; 6. Decide on the separation, merger, and termination of training centers; 7. Decide on other major matters. (2) The board of directors shall not dare to conduct internal management and education and teaching activities of the training center outside the authority specified in the charter.

Article 12 Rules of Procedure of the Board of Directors (1) The procedures and rules of proceedings shall adhere to the principles of fairness and impartiality and adhere to the principle of promoting the development of the training center as the fundamental interest. They shall be proposed by the Board of Directors meeting and determined after discussion and approval. . (2) The chairman of the board of directors is responsible for convening the board of directors. If the chairman of the board of directors is unable to attend for any reason, he should make a plan or entrust other members of the board of directors to be responsible for convening the board of directors. (3) The board of directors holds two meetings every year. The chairman of the board of directors may convene an extraordinary meeting of the board of directors if he deems it necessary or upon the proposal of more than one-third of the members of the board of directors. When convening a board meeting, all directors should be notified one week in advance. A board meeting must be attended by more than two-thirds of the members to be valid. (4) The board of directors exercises the voting right of one person, one vote. The resolutions of the board of directors must be voted by more than half of the members present at the meeting to take effect.

(5) The following major matters discussed by the board of directors must be approved by more than two-thirds of all directors before they can be passed; 1. Elect and remove the chairman; 2. (6) The board of directors should formulate meeting minutes of decisions on the matters resolved, which are usually signed by the chairman of the board. Members present at the meeting shall sign the minutes forming the Board resolutions. Article 13 Legal Representative of the Art Center (1) The legal representative of the Art Center shall be nominated by the organizer, discussed and approved by the Board of Directors, reported to the Ningdu County Culture, Radio and Television Bureau for review, and approved by the Ningdu County Civil Affairs Bureau. (2) The term of office of the legal representative of the Art Center is five years. Resign after expiration of term. Those who are re-elected upon the decision of the board of directors may be re-elected. (3) The removal of the legal representative of the Art Center must be discussed and approved by the board of directors and reported to the approval department for record. Article 14 The art center implements the responsibility system of the director of the art center under the leadership of the board of directors. Chapter 3 Rights and Obligations of the Training Center Article 15 The training center shall exercise the following rights: (1) to manage independently in accordance with the charter; (2) to organize and implement art education and teaching activities; (3) to recruit educated persons; (4) to Manage the student status of the educated and implement rewards or sanctions; (5) Issue corresponding academic certificates to the educated; (6) Appoint teachers and other staff, implement rewards or sanctions; (7) Manage and use the facilities of the center and Funds; (8) Reject any illegal interference in educational activities by any organization or individual; (9) Other rights stipulated in laws and regulations. Article 16 Training centers shall fulfill the following obligations: (1) abide by laws and regulations; (2) implement national education policies, implement national education standards, and ensure the quality of national education and teaching; (3) safeguard the rights and interests of educated persons, teachers and The legitimate rights and interests of other employees;

Chapter 4 Director of the Art Center Article 17 The director of the Art Center independently exercises educational and administrative management powers in accordance with the law, implements the decisions of the Art Center Board of Directors, and accepts the supervision of the Board of Directors and the approval authority. The internal organizational structure plan of the art center shall be proposed by the director of the training center and submitted to the board of directors for approval. The appointment of the director of the Art Center shall be discussed and decided by the board of directors based on the terms of office, and shall be appointed by the board of directors after being reported to the Ningdu County Culture, Radio and Television Bureau for approval. The term of office of the Director of the Art Center is five years, and he will leave office upon expiration of the term of appointment. They may be re-appointed at the decision of the board of directors. Article 19 The director of the training center is responsible for the education, teaching and administrative management of the art center and exercises the following rights: (1) Implement the decisions of the art center council, board of directors or other decision-making bodies; (2) Implement development plans and formulate annual work Plan, financial budget and rules and regulations of the art center; (3) Appoint and dismiss art center staff, implement rewards and punishments; (4) Organize education, teaching, and scientific research activities to ensure the quality of education and teaching; (5) Responsible for the daily management of the training center; (6) Other authorizations from the Art Center Board of Directors; Article 20 If the Director of the Art Center is unable to exercise his powers for any reason, he may entrust the Deputy Director of the Center to exercise his powers on his behalf. Article 21 The Art Center implements democratic management and establishes a Staff Representative Conference. The functions and powers of the Staff Representative Conference are: to supervise the financial situation of the Art Center and to supervise the work of the legal representative, chief and deputy Art Center directors.

Article 22 The director of the training center shall be removed from his post under any of the following circumstances: (1) Seriously violating laws, regulations and regulations in running a school; (2) Being unable to fully perform the duties of the director of the art center; (3) The management of the center is chaotic or The quality of education and teaching is low; (4) The person is unable to maintain the normal work of the training center due to health conditions or other reasons; (5) The employee personally requests dismissal; (6) The administrative department recommends dismissal. The removal of the director of the Art Center shall be discussed and approved by the board of directors and reported in writing to the Ningdu County Culture, Broadcasting and New Bureau for record. Chapter 5 Administration and Education and Teaching Management of the Art Center Article 23 The training center shall establish, improve and implement administrative management, teaching management, student status management and other rules and regulations and the responsibilities of each job position in the school, and report them to the approval authority for record. Article 24 The training center shall publicize the "Private Training Center Operating License", "Private Non-Enterprise Unit Registration Certificate", "Charging License" and "Tax Registration Certificate".

Article 40 The liquidation personnel shall generally consist of representatives of the training center organizer, legal representatives of the training center, and faculty and staff representatives. Hire domestic certified public accountants, lawyers, etc. to participate as needed. The liquidation expenses and the remuneration of the members of the liquidation team will be paid from the remaining assets of the training center. Article 41 The property of the training center shall be paid off in the following order; (1) Tuition fees and other fees of the educated persons shall be refunded; (2) Salaries of the teaching staff and social insurance fees shall be paid; (3) Other debts shall be repaid . The remaining property of the training center after liquidation shall be handled in accordance with relevant laws and regulations. Article 42 After the settlement is completed, a liquidation report shall be written, submitted to the original board of directors for review and approval, and then submitted to the review authority for approval, and then apply to the registration management authority for cancellation. Chapter 8 Supplementary Provisions Article 43 The right to amend this charter belongs to the board of directors of the training center. The revised charter, after being reviewed and approved by the Ningdu County Culture, Radio, Television and New Bureau, will take effect within 30 days after being reported to the Culture, Radio, Television and New Bureau for approval. Article 44 If this charter conflicts with national laws and regulations, national laws and regulations shall prevail.
